Key Responsibilities:
- Handle general corporate advisory matters and draft or review commercial agreements, including vendor contracts, employment agreements, lease deeds, warrant agreements, and assignment agreements.
- Provide legal and compliance advice on corporate and commercial laws, labor laws, statutory approvals, and regulatory filings.
- Prepare and issue legal opinions and memorandums on various matters related to commercial and corporate laws across different sectors.
- Collaborate with teams on mergers and acquisitions (M&A) and private equity transactions.
- Participate in legal due diligence exercises and manage specific sections of the due diligence process.
- Draft, review, and negotiate transaction documents such as share purchase agreements, share subscription agreements, shareholders’ agreements, joint venture agreements, escrow agreements, and term sheets.
- Maintain up-to-date knowledge of legal issues and developments in relevant laws and regulations.
Eligibility Criteria:
- Graduate or Postgraduate degree in Economics, Engineering, Mathematics, Statistics, or Business Administration (MBA).
- Prior experience or understanding of GST and Customs regulations is desirable.
- Familiarity with previous indirect tax regimes such as Sales Tax, Service Tax, and Central Excise is an added advantage.
