Key Responsibilities:
- Provide general corporate advisory services and draft or review commercial agreements, including vendor contracts, employment agreements, lease deeds, warrant agreements, and assignment agreements.
- Advise on legal and compliance matters related to corporate and commercial laws, labor laws, statutory approvals, and regulatory filings.
- Issue legal opinions and memorandums on various matters concerning commercial and corporate laws across different sectors.
- Collaborate as part of a team on mergers and acquisitions and private equity transactions.
- Assist in legal due diligence processes and manage specific sections of due diligence exercises.
- Draft and review transaction documents such as share purchase agreements, share subscription agreements, shareholder agreements, joint venture agreements, escrow agreements, and term sheets.
- Maintain strong knowledge of legal issues and stay updated on developments in relevant laws.
Eligibility Criteria:
- Graduate or postgraduate degree in Economics, Engineering, Mathematics, Statistics, or MBA.
Preferred Skills:
- Prior experience or understanding of GST and Customs is desirable.
- Knowledge of erstwhile indirect taxation such as Sales Tax, Service Tax, and Central Excise is preferred.
